ADVERTISING CONTRACT

1. PURCHASE OF ADVERTISING SERVICES. BiogasWorld Media Inc. (“BW”) sells to the purchasing Client the services whose description is presented at the end of this contract.

2. COLLABORATION. The Client must provide, within a reasonable period after the signing of this contract, all documents and information about the products & services required by the advertising services purchased, in order for BW to be able to fulfill its obligations under this contract. If a Client fails to provide all documents and information required, BW will provide the advertising services according to the documents already in its possession as well as with the information available on the internet.

3. RENEWAL. This Contract will be renewed automatically one (1) year after the official signature date, unless the Client requests cancellation of services. The renewed Contract will be of equal value and services provided as this here Contract. BW will inform the Client one (1) month prior and one (1) week prior to Renewal Date regarding the pending renewal. The Client should verify the payment information provided in the invoice remain correct and valid for the Contract to be renewed. If payment information is not correct and valid, or if the Client notifies BW that he does not wish to renew the services, BW can proceed to terminate the provision of services. If Customer does not renew within (1) week after the end of this Contract, this Contract voids all privileges related to BW clients’ renewals.

4. PRICE INCREASE. BW can increase its plans’ & products’ prices in accordance with its usual practice. Price increase does not influence the Client for the duration of this contract, but will be implemented upon renewal of the contract.

5. MINIMUM FEE (Applies only to the BiogasConcierge service): BiogasConcierge is a B2B service and requires dedicated man hours by the BiogasWorld team. As such, there is a minimum 30-minute fee associated with each new request. Communication related to existing requests does not yield additional fees. BiogasConcierge hours must be used within the duration of the contract. The Client will be informed of the total estimated man hours for the completion of his request at the beginning of each new request. He can then choose to proceed with or cancel his request.

6. LATE FEES. The Client agrees to pay the fees payable under this contract upon receipt of the invoice by BW. Interest at the rate of 1.5% per month compounded monthly (19.56% per year) will be added to any amount remaining unpaid one (1) month after receipt of the invoice.

7. TERMINATION. BW may at any time terminate this contract or terminate any of the services provided herein for any reason whatsoever by giving the Client a written notice of one (1) month. BW will refund the amount corresponding to the portion of the services that was not provided.

8. DEFAULT. The Client is in default under this contract in the following cases (hereinafter collectively the “Default”): (a) if the Client does not pay the fees payable under this contract; (b) if the Client ceases operations; (c) if, without the consent of BW, the Client reproduces, in whole or in part, the advertising services created by BW in any other media. BW retains the right to terminate this contract on the spot when a default occurs. Furthermore, all costs for the remainder of the contract become immediately due and payable to BW as liquidated damages. Otherwise, without terminating the contract, BW may suspend the advertising services until final payment of the invoice is completed, if it is not fully paid within two (2) months of signing this contract.

9. INFORMATION DISCLOSURE. The Client acknowledges that for the purposes of promoting its advertising services, BW can provide data, including statistics, yield estimates, and other information, which illustrate the results obtained by some BW clients resulting from BW services.

10. THIRD PARTY CONTENT. The Client acknowledges and agrees that BW can consolidate, display and publish content from third parties related to BW, and can display Client content to third party BW partners. The Client acknowledges and agrees that BW undertakes no responsibility or liability, directly or indirectly, for any damage or loss, real or alleged, directly or indirectly caused by third parties content or contained in the Client’s content displayed to third party BW partners. The Client releases BW of any responsibility for any third party content as well as any Client content displayed to third party BW partners.

11. APPROVAL OF CONTENT. BW has the right and option to approve, at its discretion and prior to posting on the BW website, the content of any publicity material that the Client makes available if BW considers in particular that: (a) it does not meet the standard conditions of advertising; (b) it contains false or ambiguous information; (c) it contains illegal content; (d) it contains vulgar or pornographic elements. If advertising is to be changed, the Client will be notified and may proceed to the modifications within ten (10) working days otherwise BW reserves the right to modify it.

12. CLIENT GUARANTEES. The Client guarantees that he is authorized to publish its advertising online or in printed media under applicable laws and regulations. The Client also guarantees that he holds all permits and licenses that may be announced. Finally, the Client guarantees that he holds all the rights to use the trademarks or trade names contained in the advertisement.

13. LIMITATIONS AND DISCLAIMERS. The Client acknowledges that BW provides a considerable amount of advertising services and that errors can and may occur. BW is not able to provide its advertising services in the absence of a clause limiting its liability. Therefore, the Client also acknowledges that this limitation of liability clause is an important foundation of this contract and an essential condition of BW’s commitment to providing the advertising services at the agreed fees. In the case of error or omission in the advertising services, the BW liability shall be limited to the sum of the fees payable under this contract for the initial term. In addition, BW will not be held responsible for possible periodic drops can be caused by maintenance, backup, cases of force majeure and circumstances related to the risks of Internet.

14. AMENDMENT OF THE CONTRACT BY BW. The Client acknowledges that BW may, from time to time, update the present conditions of sale as well as its advertising services. BW can change the advertising services if the change is to the customer’s advantage or if it does not significantly affect the rights and obligations of the Client. The Client is bound by any changes as soon as it receives a notice to that effect.

15. BW TRADEMARKS AND OWNERSHIP OF ADVERTISING SERVICES. The Client acknowledges that it may not use the name or one of BW trademarks without the prior written consent of BW. The Client also recognizes that BW owns all intellectual property rights relating to its advertising services.

16. APPLICABLE LAWS. This contract is governed by the laws applicable in Quebec (Canada), even if its scope is international.
